1 Instructions to Tenders

1. 招标说明

1.1 This tender is conducted in accordance with the "Tendering and Bidding Law of the People's Republic of China" and the "Tendering and Procurement Management Measures of China Harbour Engineering Co., Ltd".

1.1本招标依照《中华人民**国招标投标法》、《****点击查看招标采购管理办法》的相关要求进行。

1.2 All Tenderers shall carefully read and fully understand the Tender Documents. In case of any questions, please contact the Tenderer for clarification.

1.2各投标单位应仔细阅读招标文件并认真领会，如有疑问请联系招标人，由招标人负责解释。

1.3 Tenderers shall first complete registration on the Overseas Procurement Section of the CCCC Procurement Platform (https://hwsp.****点击查看.cn/). Tender submission, clarification, and other related activities may only be conducted after approval by the Procurement Department of China Harbour Headquarters.

1.3供应商应首先完成在中交招采网海外采购专区（https://hwsp.****点击查看.cn/）上的注册，****点击查看采购部审批后才能开展投标、澄清等工作。

1.4 Availability of Tender Documents: Tenderers shall download the Tender Documents from the Overseas Procurement Section of the CCCC Procurement Platform (hereinafter referred to as the “Procurement Platform”). The Tender Documents are provided free of charge.

1.4招标文件的获取：投标人请在中交招采网海外采购下载标书。本次招标招标文件不收费。

1.5 Tender Security: This Tender requires the submission of Tender Security in the form of a bank guarantee. The amount of Tender Security shall be 300000 RMB . The Tender Security shall be duly prepared prior to the Tender Opening date, The original copy shall be submitted to the Tenderer before the Tender Opening date.

1.5本次招标收投标保函，投标保函额为300000人民币，投标保函须在开标之日前准备完成，并在开标之日前提交原件。

1.6 The Tender Bond shall be refunded to Tenderers within the timeframe specified in the Tender Documents after Tender Opening.For unsuccessful Tenderers, the refund period shall commence 15 working days after the Tenderer and the Successful Tenderer sign the contract.For the Successful Tenderer, the refund period shall commence 15 working days after the contract is signed and the Tenderer has received the original Performance Security.

1.6保函在开标后按招标文件规定的期限内退还投标人。未中标投标人的投标保函退还时间为招标人与中标人签订合同后的15个工作日内。中标投标人的投标保函退还时间为双方签订合同且招标方收到履约保函原件后15个工作日内。

1.7 Forfeiture of Tender Security: The Tender Security shall be forfeited under any of the following circumstances, and the Tenderer reserves the right to claim further damages:

1.7下列任一情况发生时，投标保证金将不予退还，同时，招标人将保留进一步索赔的权力：

1.7.1 A Tenderer withdraws its Tender during the Tender Validity period specified in the Tender Documents without justified reasons;

1.7.1投标人在招标文件中规定的投标有效期内恶意撤销投标；

1.7.2 The Successful Tenderer fails to sign the contract with the Tenderer without justified reasons after receipt of the Letter of Acceptance, imposes additional conditions, or fails to submit the Performance Security as required by the Tender Documents;

1.7.2中标人在收到中标通知后，无正当理由不与招标人订立合同，在签订合同时向招标人提出附加条件，或者不按招标文件要求提交履约保证金或担保函；

1.7.3 The Successful Tenderer assigns, transfers, or subcontracts the contract, in whole or in part, without the prior written consent of the Tenderer;;

1.7.4 The Successful Tenderer loses its ability to perform obligations after contract signing and before the deposit refund, except in cases of Force Majeure, and is unable to continue fulfilling its commitments;

1.7.5 Any other acts in violation of applicable laws and regulations, the Tendering and Procurement Management Measures of China Harbour Engineering Co., Ltd., or the provisions of the Tender Documents.

2. Project Overview

2.1 Project Name: Zulti South Titanium Mining, Beneficiation and Transportation Project

2.1 项目名称：南非钛矿采选及运输项目

2.2 Project Overview: The project involves the construction of a titanium iron sand mining, beneficiation, and transportation production line at Zulti South, including: one dry mining unit with a capacity of 2,500 t/h; one titanium iron sand beneficiation plant with a processing capacity of 2,500 t/h; a 42 km（Provisional） slurry pipeline; and associated water supply and power supply systems.

3. Tender Scope

3.1 China Harbour Engineering Company Ltd. (CHEC, hereinafter referred to as the “tenderer”) intends to procure Co-extruded Wear-resistant POE Composite Pipe

through open competitive tendering. For detailed requirements, please refer to Part II of this document — Bill of Quantities (BOQ).

3.2 Special Note: Through this Tender and subsequent contract negotiations, the Tenderer shall finalize material specifications, unit pricing, and after-sales service arrangements. The quantities specified in this Tender are provisional, and the final quantities for settlement shall be subject to the drawings approved by the Tenderer.

3.2特别说明：招标人通过本次招标及随后的合同谈判，锁定物资型号、物资单价及后期的售后服务方案。本次招标的数量为暂定数量，具体实际结算数量以甲方核定后的图纸数量为准。

4.Tender Qualification Requirements

4.投标人资质要求

4.1 Tenderers shall be legally registered entities with independent legal person status and shall maintain a fixed place of business.

4.1投标人必须具有独立法人资格，有固定的营业地址。

4.2 Tenderers shall be professional manufacturers with the capability to fulfill the requirements of the Tender and to supply the Goods and Services specified herein.

4.2投标人必须是有能力履行招标内容要求和提供招标货物及服务的专业制造商。

4.3 Consortiums and agents shall not be permitted to participate in this tender.

4.3本次招标不接受联合体和代理商投标。

4.4 Production capacity requirements: Tenderers shall have sufficient production capacity to meet the supply requirements of this Project.

4.4生产能力要求：满足本项目供货要求。

4.5 Financial capability requirements: Tenderers shall not be subject to takeover, freezing, or bankruptcy proceedings, and shall provide audited financial statements for the past three (3) years.

4.5财务能力要求：财务没有被接管、冻结、破产状态，出具近三年会计审计报表。

4.6 Quality assurance requirements: tenders shall comply with the ISO quality management system and the standard of South Africa certification requirements.

4.7 Supply performance requirements:Tenderers shall have proven performance in supplying similar projects both domestically and internationally.

4.7供货业绩要求：国内和国外类似项目业绩。

4.8 Credit requirements: Tenderers shall possess valid credit documentation and shall not have any adverse credit records.

4.10 tenders whose legal representatives are the same individual, or entities having controlling or management relationships, shall not participate in this tender simultaneously; otherwise, all such tenders shall be rejected.

4.11 Tenderers shall have participated in similar procurements with China Harbour Engineering Company or related enterprises, and the products supplied shall not have experienced any major quality or service issues.

4.11既往中国港湾或相关企业的类似采购，投标人供应的产品未出现过严重质量或服务问题。

*4.12 Tenderers shall not fall under any of the following circumstances; otherwise, their tenders shall be deemed invalid:

4.12.1 Subsidiaries or affiliated entities of the tenderer without independent legal person status, or entities having conflicts of interest with the tenderer that may affect the fairness of the tender process;

4.12.1招标人不具有独立法人资格的附属机构（单位）, 或与招标人存在利害关系且可能影响招标公正性；

4.12.2 Being ordered to suspend business operations, or having licenses or business permits temporarily suspended or revoked;

4.12.2被责令停业、暂扣或者吊销许可证、暂扣或者吊销执照；

4.12.3 Having tendering qualifications suspended or revoked;

4.12.3被暂停或投标资格的；

4.12.4 Assets being taken over, frozen, or under liquidation, or the enterprise being in a state of suspension of production or business, cessation of operations, bankruptcy, or other circumstances resulting in loss of performance capability;

4.12.5 Having engaged in fraudulent tendering, serious breach of contract, or major quality issues within the past three (3) years;

4.12.6 Being involved in ongoing litigation cases that, as determined by the Tender Evaluation Committee, may significantly affect the execution of this Project;

4.12.11 In previous similar procurements by China Harbour Engineering Company or related enterprises, the tenderer has experienced serious quality or service issues with the supply of identical or similar products.

5.Import Restraints

5、进口限制

The Goods and after-sales services provided by the Tenderer shall originate from eligible source countries that are not subject to import restrictions imposed by South Africa. Payments under this Contract shall be limited solely to such Goods and Services.

投标人所提供的物资及其售后服务，其来源为不受南非进口限制的合格来源国，本合同的支付也仅限于这些物资和服务。

6.Cost of Tender

6、投标费用

The Tenderers shall bear all costs and expenses incurred in the preparation and submission of their Tenders, regardless of the outcome of the tender process. The Tenderer shall not be liable for any costs or claims arising from the tender.

无论本次投标结果如何，投标人均应承担在准备本次投标过程中可能产生的一切费用。招标人对因投标引起的任何索赔不承担责任。
